Terms of Service

These Terms govern access to and use of the EURU platform, API and related services (the “Services”) provided by Paytend Europe UAB, a private limited liability company registered in the Republic of Lithuania under company code 304730875, with its registered office at J. Savickio g. 4-7, LT-01108 Vilnius, Lithuania (“EURU”, “we”, “us”). By creating an account, generating an API key or sending a request to the Services, you (“Customer”) accept these Terms.

1. The Services

EURU operates a gateway that routes Customer requests to third-party artificial intelligence model providers (“Providers”) and meters the resulting consumption in tokens. EURU purchases capacity from Providers and resells it to Customer as prepaid credit. EURU does not develop the underlying models and does not warrant their outputs.

2. Accounts and API keys

  • Customer must be a business or a natural person aged 18 or over, acting in a professional capacity.
  • Customer is responsible for all activity conducted with its API keys, including by its own end users.
  • API keys must be kept confidential and must not be embedded in client-side applications. Suspected compromise must be reported without undue delay, and the key revoked.
  • EURU may suspend a key or account immediately where necessary to protect the Services, other customers or a Provider relationship.

3. Credit, fees and payment

  • The Services are sold as prepaid credit. Credit is denominated against the published USD list price per million tokens and may be settled in EUR or USD.
  • Consumption is billed on completion of each request, based on the token counts reported by the relevant Provider. Requests that fail without producing output are not charged.
  • Published prices may change where Provider pricing changes. Changes apply prospectively and are shown in the dashboard before consumption.
  • Prepaid credit does not expire. On account closure, unused credit purchased by card or bank transfer is refundable on request, less payment processing costs already incurred and any amounts owed.
  • Invoiced accounts pay within the agreed term. Overdue amounts may accrue statutory late payment interest and may lead to suspension.
  • Prices are exclusive of VAT. VAT is applied, or the reverse charge mechanism is stated, according to Customer's status and location.

4. Acceptable use

Customer must not use the Services, and must not permit its end users to use the Services, to:

  • breach applicable law, including EU and Lithuanian law, sanctions and export control rules;
  • generate or distribute child sexual abuse material, or content sexualising minors;
  • produce material that incites violence, terrorism, or unlawful discrimination or harassment;
  • create malware, conduct intrusion, phishing, credential harvesting or other attacks on systems;
  • build or operate weapons, or provide operational guidance for chemical, biological, radiological or nuclear harm;
  • impersonate a person or organisation, or generate deceptive content for fraud, market manipulation or electoral interference;
  • provide regulated medical, legal or financial advice presented as coming from a licensed professional without appropriate authorisation and human review;
  • circumvent Provider safety systems, rate limits or usage restrictions, or resell raw access in breach of Provider terms;
  • scrape, mirror or use the Services to train a competing model without written consent.

Provider terms apply in addition to this policy. Where a Provider imposes stricter restrictions on a model, those restrictions apply to Customer's use of that model through EURU.

5. Customer content and outputs

Customer retains all rights in the inputs it submits. As between the parties, and to the extent permitted by applicable law and the relevant Provider terms, outputs are assigned to Customer. Customer is responsible for evaluating outputs before relying on them. Outputs may be inaccurate, may not be unique, and must not be treated as professional advice.

EURU does not use Customer inputs or outputs to train models, and passes traffic to Providers under terms that exclude it from Provider training where such terms are available.

6. Availability and support

EURU aims for high availability but the Services depend on third-party Providers. Except where a separate written service level agreement applies, the Services are provided without an uptime commitment. Planned maintenance is announced in advance where practicable.

7. Warranties and disclaimers

To the maximum extent permitted by law, the Services are provided “as is”. EURU disclaims implied warranties of merchantability, fitness for a particular purpose and non-infringement in respect of model outputs. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

8. Limitation of liability

Subject to the paragraph above, each party's total aggregate liability arising out of or in connection with these Terms is limited to the amounts paid by Customer to EURU in the twelve months preceding the event giving rise to the claim. Neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill or data.

9. Indemnity

Customer will indemnify EURU against third-party claims arising from Customer's breach of clause 4 (Acceptable use) or from Customer's use of outputs in breach of applicable law.

10. Term, suspension and termination

Either party may terminate for convenience on written notice; Customer may stop using the Services at any time. EURU may suspend or terminate immediately for breach of clause 4, non-payment, or where required by a Provider or by law. Clauses that by their nature survive termination continue to apply.

11. Changes to these Terms

EURU may update these Terms. Material changes are notified by email or in the dashboard at least 30 days before taking effect, except where a change is required to comply with law or Provider terms. Continued use after the effective date constitutes acceptance.

12. Governing law and jurisdiction

These Terms are governed by the law of the Republic of Lithuania, excluding its conflict of law rules. The courts of Vilnius, Republic of Lithuania have exclusive jurisdiction, without prejudice to any mandatory consumer protection rights.
